Agency Agreement

In consideration of Manikin Model and Talent Agency placing my name on its Talent List and using reasonable efforts to procure assignments for me as a model, actor, dancer, singer, performer or in other phases of modeling and acting and various arts as provided herein, and, at my request, advising me with respect to my career:

I hereby appoint MANIKIN MODEL AND TALENT AGENCY as my non-exclusive agent to procure Modeling, Acting or other Talent Assignments for me. As used in this Agreement, the term "Assignments" shall include the performance of services as a model, actor or actress, dancer, singer or any other performance arts.

I acknowledge and agree that MANIKIN MODEL AND TALENT AGENCY currently has in effect Agreements with other persons, that are the same, or similar, to this Agreement, and that MANIKIN MODEL AND TALENT AGENCY will, during the term of this Agreement, enter into additional such Agreements, and that MANIKIN MODEL AND TALENT AGENCY will provide and furnish to other persons, the same or similar services as MANIKIN MODEL AND TALENT AGENCY has undertaken to provide to me under this Agreement.

By its acceptance hereof, MANIKIN MODEL AND TALENT AGENCY acknowledges its understanding that I may procure Assignments for myself or through sources other than MANIKIN MODEL AND TALENT AGENCY, and that MANIKIN MODEL AND TALENT AGENCY shall not be entitled to any fee, except on Modeling Assignments which MANIKIN MODEL AND TALENT AGENCY procures for me.

Unless otherwise mutually agreed to in writing and signed by MANIKIN MODEL AND TALENT AGENCY and me, all compensation for my services in the performance of Modeling, Acting or other Talent Assignments procured for me by MANIKIN MODEL AND TALENT AGENCY shall be paid directly to MANIKIN MODEL AND TALENT AGENCY, and MANIKIN MODEL AND TALENT AGENCY shall deduct, as its fee, a sum equal to 20% of the sum paid by the client for non-union assignments or 10% of the sum paid by the client for union assignments, for whom such services were rendered, before MANIKIN MODEL AND TALENT AGENCY forwards payment to me for my services. I further agree that MANIKIN MODEL AND TALENT AGENCY shall be entitled to receive such percentage of all compensation payable for my services throughout the term of this Agreement, and any compensation which may become payable in the future for contracts, engagements and/or Agreements procured by MANIKIN MODEL AND TALENT AGENCY for me and entered into or negotiated for during the term of this Agreement and on all extensions or renewals of such contracts, engagements and/or Agreements. In the event that any compensation shall be paid by any client directly to me, I agree to immediately deliver 20% of such payment for non-union assignments and 10% of such payment for union assignments to Manikin Model and Talent Agency. Manikin Model and Talent Agency pays its talent when the client pays. If a client cannot pay Manikin Model and Talent Agency, due to any reason, Manikin Model And Talent Agency is not held responsible for remitting payment to talent. I also understand that my agency is entitled to receive a service charge from the originating client for booking services, for which I shall not be responsible.

I acknowledge and agree that I am not, nor shall I be, deemed for any purpose to be, an employee of MANIKIN MODEL AND TALENT AGENCY. I further acknowledge and agree that, at all times, I shall be acting under this Agreement solely and exclusively as an independent contractor. MANIKIN MODEL AND TALENT AGENCY shall not be liable or responsible for any injury or damage suffered by me while I am performing Assignments, whether obtained directly or indirectly by or through MANIKIN MODEL AND TALENT AGENCY, nor will MANIKIN MODEL AND TALENT AGENCY maintain any liability, Worker's Compensation, unemployment or other form or type of insurance coverage for or upon me. I hereby accept and agree to be solely responsible for, all risks of performing Modeling Assignments under this Agreement, and I hereby agree to indemnify and hold MANIKIN MODEL AND TALENT AGENCY harmless of and from any and all claims, demands, damages, costs and expenses, of any and every kind, which may arise or which may be claimed against MANIKIN MODEL AND TALENT AGENCY, arising from my performance of services under this Agreement.

TERM: Agreement is for one year and will automatically renew each year. Agreement may be canceled at any time by either party with written notification. All compensation due to Manikin Model and Talent Agency for assignments procured remain due.

NON-EXCLUSIVE: Agreement between talent and Manikin Model and Talent Agency remains non-exclusive until such time that both parties agree to an exclusive agreement which must be obtained in writing. Talent is permitted and encouraged to work with other non-affiliated agencies on a non-exclusive basis to allow further growth.

TOOLS: Working tools (digital or printed headshots or photos, continued training, talent database, talent showcases) are not provided by or paid for by Manikin Model and Talent Agency. Talent is responsible for providing Manikin Model and Talent Agency with necessary tools for marketing.
